1. Acceptance of Terms

By accessing or using Lendari ("the Service"), operated by CX Lending LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users, including individual subscribers, team members, and enterprise customers. Additional terms may apply to specific features or enterprise agreements.

2. Description of Service

Lendari is a SaaS platform designed to help SBA 7(a) loan professionals manage document checklists, track deal progress, and collaborate with team members. The Service includes:

  • Document checklist generation and management
  • Deal pipeline tracking and workflow tools
  • Team collaboration features (Team and Enterprise plans)
  • Document storage and organization
  • Borrower portal access (Team and Enterprise plans)

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any feature at any time.

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.2 Account Security

You agree to immediately notify us of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Requirements

You must be at least 18 years old and have the legal authority to enter into these Terms. If using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Subscription Terms

4.1 Available Plans

Lendari offers the following subscription tiers:

  • Personal Plan ($99/month): 1 user, up to 15 active deals, email support
  • Team Plan ($299/month): 5 seats, unlimited deals, team collaboration, borrower portal access, priority email support
  • Enterprise Plan (Custom Pricing): Custom seat count, unlimited deals, unlimited teams, white-label portal, dedicated customer success manager

4.2 Free Trial

New users may be eligible for a 7-day free trial. During the trial period, you have access to all features of the selected plan. Your subscription begins and billing starts at the end of the trial period unless you cancel before the trial ends.

4.3 Plan Features

Feature availability varies by plan. We reserve the right to modify plan features with reasonable notice. Current features and limitations are displayed on our pricing page.

5. Team Plans & Seats

5.1 Seat Allocation

Team and Enterprise plans include a fixed number of seats. Seats are assigned to specific users when they accept an invitation to join a team. Each user occupies one seat.

5.2 Team Owner Responsibilities

The team owner (the account holder who created the team) is responsible for:

  • All billing and payments for the team subscription
  • Managing team member invitations and access
  • Ensuring team members comply with these Terms
  • Managing seat assignments within the plan limits

5.3 Team Member Access

Team members receive access to the Service through the team subscription. Team members do not need a separate personal subscription while they are covered by an active team subscription.

5.4 Subscription Expiration

Important: When a team subscription expires or is canceled, all team members immediately lose access to team features and shared data. Team members will receive email notification when the team subscription expires. Team members may purchase a personal subscription to continue accessing their individual data.

5.5 Seat Limits

You cannot invite more team members than your plan's seat limit allows. To add more seats, you must upgrade to a higher tier or contact us for Enterprise pricing.

6. Billing & Payments

6.1 Payment Processing

All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis according to your plan.

6.2 Billing Cycle

Subscriptions are billed monthly on the anniversary of your subscription start date. You will be charged the applicable subscription fee at the beginning of each billing period.

6.3 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes take effect at the start of your next billing cycle. Continued use after a price change constitutes acceptance of the new price.

6.4 Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment continues to fail after 7 days, your subscription may be suspended until payment is resolved. Access will be restored once payment is successful.

7. Cancellation & Refunds

7.1 How to Cancel

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

7.2 Effect of Cancellation

Upon cancellation, you will retain access to the Service until the end of your current billing period. After that, your account will be downgraded and you will lose access to premium features.

7.3 Refund Policy

Subscriptions are non-refundable for partial months. We do not provide prorated refunds for early cancellation. In exceptional circumstances, refunds may be considered at our sole discretion.

7.4 Data After Cancellation

Your data will be retained for 30 days after your subscription ends. During this period, you may export your data or reactivate your subscription to restore full access. After 30 days, your data may be permanently deleted.

8. Data & Privacy

8.1 Your Data

You retain ownership of all data you upload to the Service ("Your Data"). By using the Service, you grant us a limited license to process Your Data solely to provide the Service.

8.2 Data Security

We implement industry-standard security measures to protect Your Data. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.

8.3 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8.4 Data Processing

We may process Your Data using automated systems and third-party services to provide the Service. This may include cloud storage providers, analytics services, and payment processors.

9. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service's operation
  • Use the Service for any fraudulent or deceptive purposes
  • Share your account credentials with unauthorized users
  • Exceed the usage limits of your subscription plan

We reserve the right to suspend or terminate accounts that violate these terms.

10. Intellectual Property

10.1 Our Intellectual Property

The Service, including its design, features, and content (excluding Your Data), is owned by CX Lending LLC and protected by intellectual property laws. You may not copy, modify, or create derivative works based on the Service without our written permission.

10.2 Feedback

If you provide feedback or suggestions about the Service, you grant us a perpetual, royalty-free license to use that feedback without obligation to you.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We are not responsible for any decisions you make based on information provided through the Service.

Lendari is not a legal or financial advisor. The Service provides document management tools for SBA loan professionals but does not constitute legal, financial, or lending advice. You are solely responsible for ensuring compliance with all applicable SBA regulations and lending requirements.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LORDS OF LENDING AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect.

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service before the changes take effect.
