Lendari Terms of Service

These terms reflect Lendari as it operates today (invite-only broker workspace, included with Lords of Lending membership; not sold separately) and remain subject to qualified legal counsel review prior to general availability. 1. Acceptance of Terms

By creating an account, signing in via Google or another identity provider, or otherwise using Lendari (the "Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service. The Service is operated by CX Lending LLC d/b/a Lords of Lending ("Lendari," "we," "us"), a North Carolina limited liability company.

2. Eligibility

You must be at least eighteen (18) years old and capable of forming a binding contract under U.S. law to use the Service. By using the Service, you represent that you meet this requirement and are not barred from receiving services under U.S. or other applicable law.

3. Account types and how the Service works

Brokers

The Service is included with an active membership at our sister property, Lords of Lending LLC ("Lords of Lending" or "LoL"), available at learn.lordsoflending.com. Lendari does not separately bill brokers. Your access to Lendari requires your Lords of Lending membership to remain in good standing. If your membership lapses or is cancelled, your access to Lendari is suspended automatically.

Lendari is a workflow tool. We are not a lender, an SBA-approved packager, an underwriter, or a broker-dealer. We do not approve, decline, fund, service, or guarantee any loan. You are solely responsible for the accuracy of the information you place in the Service and for the relationships you maintain with your borrowers and with lenders.

Borrowers

If you are a borrower, you accessed Lendari through an application link sent to you by an SBA broker. The Service helps you complete an SBA 7(a) loan application and track the document checklist your broker prepared for you. Lendari does not lend you money, evaluate your application, or guarantee that any lender will approve your loan. The broker named on your application is responsible for evaluating your file, working with lenders on your behalf, and otherwise servicing your relationship.

When you use the Service as a broker, you are the "data controller" of your borrowers' personal and financial information and Lendari is your "data processor." You represent and warrant that:

7. AI features

Lendari uses artificial intelligence to generate credit memos, business descriptions, document checklists, and similar content from the information you supply. AI output may be incomplete, inaccurate, or misleading and must be reviewed by a qualified human before use. We disclaim any warranty as to the accuracy, completeness, or fitness for any particular purpose of AI output. You are responsible for verifying AI output before relying on it for any underwriting, marketing, or business decision.

8. Intellectual property

The Service, including all software, design, content, and trademarks (other than your own data), is the property of CX Lending LLC and is protected by U.S. and international copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. Nothing in these Terms transfers any intellectual property rights to you.

You retain ownership of the data you submit to the Service. You grant us a worldwide, royalty-free, non-exclusive license to host, copy, transmit, display, and process your data as needed to operate, improve, and support the Service, and (in de-identified, aggregated form) to improve our AI features.

9. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

10. Limitation of liability

To the maximum extent permitted by law, in no event shall CX Lending LLC or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation lost profits, lost revenue, or lost data, arising out of or in connection with your use of the Service. Our total cumulative liability for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amounts you paid us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so this limitation may not apply to you in full.

11. Indemnification

You agree to indemnify, defend, and hold harmless CX Lending LLC, its affiliates (including Lords of Lending), and their officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any law or regulation, including fair-lending, privacy, and consumer-protection laws; (d) your handling of borrower information; or (e) any content or information you submit to or through the Service.

12. Termination

You may terminate your account at any time by emailing team@lordsoflending.com. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms, your Lords of Lending membership lapses or is cancelled, or for any other reason in our reasonable discretion. Upon termination, provisions intended to survive (e.g., disclaimers, limitations of liability, indemnification, and governing law) will survive.

13. Changes to these Terms

We may update these Terms from time to time. The version label at the top of this page reflects the current version. If we make material changes, we will notify you by email and require re-acceptance before you continue using the Service.

14. Governing law and dispute resolution

These Terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict-of- law principles. You and we agree that any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in North Carolina, and you consent to the personal jurisdiction and venue of those courts.
